Terms of Service
These Terms of Service (“Terms”) are a binding legal agreement between you and Village that govern your use of the websites, applications, and other offerings from Village (collectively, the “Village Platform”). When used in these Terms, “Village,” “we,” “us,” or “our” refers to MSB Technologies, Inc.
The Village Platform offers an online venue that enables users (“Members”) to publish, offer, and register for out-of-school educational opportunities. Members who publish and offer Programs do so as representatives (“Organization Admins”) of a registered business entity (“Provider”), Members who conduct Programs are “Instructors” and Members who register for, and send their children to Programs are “Families”. Providers offer classes, camps, activities and other forms of educational programming (collectively, “Programs,” and each Program offering, a “Listing”).
- Representations. As a Provider, you make the following representations (“Provider Basic Requirements”):
- Have an EIN
- Operating legally
- Properly licensed
- No crimes, no molestation.
- No complaints or disciplinary actions.
- Provider’s Village Provider Page. When you create a Provider account, we will create a Provider Page displaying the information you shared about your organization. We will send you a link to approve this page.
- Program Listings. Once you have approved your Provider Page, we will share a way to create programs. You are in control of how you list - set your price, availability, and rules for each Listing.
- Sharing via your Provider Page. You can use your Provider Page as you would your own website, such as sharing the link on social media and in emails. This is a great way to build trust with Families, and encourage them to register for your Listings.
- Sharing via your Listings. If you wish to share specific Listings directly with your customers (as opposed to your Provider Page) you can do so by simply sharing the URL of the Listing.
- Registrations. Once you share your Provider Page or Listings with your customers, they will be able to create a Village account, complete the registration questions you require, sign up, and pay, creating a Registration. Registrations are automatically accepted.
- Contracting with Families. When you receive a Registration through the Village Platform, you are entering into a contract directly with the Family, and are responsible for delivering your Program under the terms and at the price specified in your Listing.
- Independence of Families. Your relationship with Village is that of an independent individual or entity and not an employee, agent, joint venturer, or partner of Village, except that Village acts as a payment collection agent as described in the Payments Terms. Village does not direct or control your Programs, and you agree that you have complete discretion whether and when to provide Programs, and at what price and on what terms to offer them.
- Program Availability. Provider shall accord the same preferences and priorities to reservations made via Village as reservations made by Provider's existing clients. In addition, Provider shall not cancel a Village reservation except where the program itself has been cancelled, or in extenuating circumstances.
- Your Responsibilities. You are responsible and liable for your own acts and omissions and are also responsible for the acts and omissions of any Organization Staff / Admin you allow to participate in providing your Programs. You are responsible for setting your price and establishing rules and requirements for your Listing. You must describe any and all fees and charges in your Listing description and may not collect any additional fees or charges outside the Village Platform.
- Exclusivity. This is not an exclusive agreement. While we would hope that Providers find such value in Village that they elect to use it for all of their registrations, you are not bound by this agreement to do so.
- Fees. Village does not charge fees to Providers for use of the Village Platform. Stripe, the third-party payment processing entity utilized by our platform, does incur a processing fee.
- Bank Account Information. As part of the onboarding process, you will be given access to our online payment system (Stripe) to provide your bank account information (“Bank Account”). Once your Bank Account has been verified, you can make payouts by electronic transfer to your Bank Account via the Automated Clearing House (ACH). Until your Bank Account has been verified, you will not be able to make payouts. You are responsible for updating Stripe as to any changes in your Bank Account.
- Timing of Payouts. Payments earned from Families will be shown in your account immediately upon receipt, and can be paid out once the Program begins.
- Taxes. As a Provider, you are responsible for determining and fulfilling your obligations under applicable laws to report, collect, remit, or include in your price any applicable Value Added Tax (VAT) or other indirect taxes, occupancy taxes, tourist, income, or other taxes ("Taxes").
- Tax Information. In certain jurisdictions, Tax regulations may require that we collect and/or report Tax information about you, or withhold Taxes from payouts to you, or both. If you fail to provide us with documentation that we determine to be sufficient to support any such obligation to withhold Taxes from payouts to you, we may withhold payouts up to the amount as required by law, until sufficient documentation is provided. You agree that Village may issue on your behalf invoices or similar documentation for VAT, Goods and Services Tax (GST), consumption or other Taxes for your Programs to facilitate accurate tax reporting by you, our Families, and TVP’s Donors.
- Cancellations. In general, if a Family cancels a reservation prior to the Program start, you will not receive payment for their registration. As a Provider, you should not cancel on a Family without an extenuating circumstance.
- Quality control. Village can investigate any conduct by Providers, and terminate for violation of policies or procedures.
- 3rd Parties. Village uses the services of Stripe and other vendors in providing the Village Platform. You consent to this and agree that we may use such third parties as we choose.
- Use of Provider’s Brand. Village and our partner organization, The Village Project, Inc. can use Provider’s name and logo for marketing their Program Listings.
- Use of the Village Brand. Provider may not use the Village brand without express consent.
- Dispute Resolution. If a dispute arises between the Provider and a Family, Village reserves the right to enforce a 60 day exclusive mediation period.
- Termination. Providers can terminate at any time.
